Terms of Service

1. Acceptance of Terms
By using PR Underground (the "Service") or purchasing any product, you agree to these Terms of Service. If you do not agree, do not use the Service. These terms apply to all visitors, users, and customers.
2. Service Description
PR Underground distributes press releases to a network of 300+ news sites, provides PDF pickup reports, and offers related services including branded newsrooms. Service specifics, pricing, and features are described on our website and may change.
3. Content Standards
You agree that submitted releases: (a) are factually accurate to the best of your knowledge; (b) do not contain profanity, hate speech, or illegal content; (c) do not contain undisclosed affiliate marketing; (d) do not make unsubstantiated medical, financial, or safety claims; (e) do not infringe third-party intellectual property; (f) represent news you are authorized to release. A full list of prohibited content types is available in our Editorial Guidelines. We reserve the right to reject any release that violates these standards.
4. User Responsibility
You are solely responsible for the content and accuracy of all information submitted. Due to the volume of releases we receive, PR Underground cannot and will not be responsible for verifying any facts contained therein. You represent and warrant that: (a) you have the right to deliver all information, images, and copy submitted; (b) you will comply with all applicable laws and regulations; (c) no content submitted will be libelous, slanderous, obscene, defamatory, false or misleading, or violate any copyright, right of privacy, or other right of any person; (d) you have full written permission from any third-party companies or individuals mentioned in your release. You agree to indemnify and hold harmless PR Underground, LLC and its owners, partners, and distribution partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to any breach of these representations or the content you submit.
5. Intellectual Property
You retain ownership of the content you submit. By submitting a release, you grant PR Underground a non-exclusive, worldwide license to distribute, publish, and display that content via our syndication network for the purpose of providing the Service. Nothing in these Terms confers any license under PR Underground's or any third party's intellectual property rights. You may not modify, alter, or misuse any trademarks, service marks, or other intellectual property made available by PR Underground in connection with the Service.
6. Prohibited Uses
You may not use the Service to: distribute spam or bulk unsolicited commercial messages; impersonate any person or entity; interfere with or disrupt the Service; attempt to access systems or data you are not authorized to access; scrape or extract data from the Service programmatically without written permission; reverse engineer the site or its processes; or resell or redistribute access to the Service without written permission.
7. Payment & Subscriptions
All fees are stated in USD. Payment is due at checkout. We use Stripe for payment processing. By purchasing, you authorize the charge to your payment method. Subscriptions renew automatically unless canceled. Monthly subscriptions carry a three (3) month minimum term: you may request cancellation at any time, and cancellation takes effect at the end of the minimum term (or at the end of the current billing period, whichever is later). Billing continues until that date. After the minimum term, cancellation takes effect at the end of the current billing period. Our refund policy is described in full on our Refund Policy page.
8. Distribution & Post-Distribution
Once a release has been distributed to our network, you will not be able to retract, change, delete, or alter information in your release on any partner or syndicated site. PR Underground will make reasonable efforts to update the version stored on PRUnderground.com upon request, but cannot guarantee that changes will take effect on any partner sites. PR Underground is not liable for any possible or potential missed business opportunities resulting from a rejected or unmodified release.
9. Third-Party Services & Technical Limitations
PR Underground will not be held liable for services that cannot be completed due to complications or failure with third-party equipment or services. PR Underground makes every effort to disseminate releases promptly and accurately. Any inadvertent errors will be corrected upon notification at no charge, and this obligation to correct shall constitute the sole liability of PR Underground for such errors. PR Underground does not warrant or guarantee specific placement or pickup of any release, but will make releases available to the appropriate distribution points in our network.
10. US National Plan — PR Newswire Terms
If you select the US National distribution plan, your release will be distributed through the PR Newswire network. By purchasing the US National plan, you agree to PR Newswire's Terms of Use, available at https://www.prnewswire.com/terms-of-use/. You are solely responsible for the content and accuracy of all information submitted for PR Newswire distribution. PR Underground, LLC and PR Newswire reserve the right to reject content for any reason at their sole discretion. PR Newswire does not guarantee distribution to any specific outlet or pickup by any media. Once distributed and viewable by the public, a release may be publicly accessed and viewed in perpetuity. Under no circumstances will PR Newswire or PR Underground be liable for any content distributed through the PR Newswire network.
11. Securities
PR Underground does not promote and will not accept releases promoting offers to buy or sell any securities.
12. Disclaimer of Warranties
The Service is provided "as is." PR Underground does not warrant that the Service will be uninterrupted, error-free, or free of defects, whether human or mechanical. PR Underground makes no warranties, expressed or implied, including but not limited to any warranties of merchantability or suitability for print or broadcast. PR Underground does not guarantee journalist pickup, specific Google search rankings, or AI assistant mentions.
13. Limitation of Liability
To the maximum extent permitted by law, PR Underground is not liable for indirect, incidental, special, consequential, or exemplary damages. Our total liability for any claim arising under these terms is limited to the amount you paid in the 12 months preceding the claim.
14. Communications
By creating an account or purchasing a service, you consent to receive communications from PR Underground concerning your use of the Service, including required notices and account-related emails. We will use the email address provided at the time of account creation. You may update your contact information by editing your profile on our website.
15. Termination
If you violate these Terms, your license to use the Service terminates automatically. PR Underground reserves the right to terminate any user account and pursue all available legal and equitable remedies for violations of these Terms or any rights of PR Underground.
16. Relationship of Parties
You and PR Underground are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Neither party has authority to enter into agreements on behalf of the other.
17. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Disputes will be resolved in the appropriate courts of Wyoming.
18. Changes
We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. Material changes will be communicated by email to registered users.
